IN ALL CASES, DIONS'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO DIONS IN THE THIRTY (30) DAYS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).
9. Indemnification
You agree to defend, indemnify, and hold harmless Dions and its parent company, subsidiaries, affiliates, officers, directors, employees, agents, contractors, licensors, service providers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

11. Dispute Resolution
11.1 Informal Resolution

We will attempt to resolve the dispute within thirty (30) days of receiving your notice. 11.2 Binding Arbitration
EXCEPT AS OTHERWISE PROVIDED IN SECTION 11.4, ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF OUR SERVICES SHALL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION ("AAA") UNDER ITS CONSUMER ARBITRATION RULES, RATHER THAN IN COURT. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding.
The arbitration shall take place in the county where Dions's principal place of business is located, or via remote/telephonic means where permitted. Each party shall bear its own attorneys' fees and costs except as otherwise awarded by the arbitrator in accordance with applicable law.
11.3 Class Action Waiver
YOU AND DIONS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of a representative or class proceeding.
11.4 Exceptions to Arbitration
Notwithstanding the foregoing arbitration agreement, either party may bring an individual action in small claims court for disputes that fall within that court's jurisdiction. Either party may also seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.
11.5 Opt-Out Right
You may opt out of the binding arbitration agreement described in Section 11.2 by notifying us in writing at [email protected] within thirty (30) days of first agreeing to these Terms.
